Welcome to Capzo.

These Terms of Service (“Terms”) govern your access to and use of the Capzo website, applications, products, and services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Services.

1. About Capzo

Capzo is an AI-powered video captioning and content-processing platform that allows users to upload videos and other media and generate captions, subtitles, transcripts, translations, and other AI-assisted outputs.

Features may include:

  • AI Auto Captions
  • Automatic Transcription
  • Word-Level Synchronization
  • Speaker Detection
  • Caption Styling
  • Caption Editing
  • AI Caption Assistance
  • Subtitle Translation
  • Multi-language Caption Generation
  • Social-Ready Video Export
  • SRT, VTT, TXT, and other export formats
  • Other AI-powered video and content-processing features

Features may change, be added, modified, or discontinued over time.

2. Eligibility

You must meet the minimum legal age required to independently use the Services in your jurisdiction.

If you use Capzo on behalf of a company, organization, or other entity, you represent that you have the authority to accept these Terms on its behalf.

You are responsible for ensuring that your use of Capzo complies with all laws and regulations applicable to you.

3. Account Registration

Certain features may require you to create an account.

You agree to:

  • Provide accurate and current information;
  • Keep your account information updated;
  • Maintain the confidentiality of your login credentials;
  • Prevent unauthorized access to your account; and
  • Notify Capzo promptly if you believe your account has been compromised.

You are responsible for activity occurring through your account unless the activity resulted from circumstances outside your reasonable control.

4. User Content

“User Content” means any videos, audio, text, images, transcripts, captions, subtitles, files, data, or other material you upload, submit, create, or process through Capzo.

You are solely responsible for your User Content and your use of any outputs generated from it.

You represent and warrant that:

  • You own or have sufficient rights to use and upload the User Content;
  • You have obtained all necessary permissions, consents, licenses, and releases;
  • Your User Content does not unlawfully infringe intellectual property, privacy, publicity, or other rights of another person;
  • Your User Content does not violate applicable law; and
  • You have the necessary rights to allow Capzo to process the User Content as described in these Terms and our Privacy Policy.

5. Ownership of User Content

You retain ownership of the User Content you upload to Capzo.

Nothing in these Terms transfers ownership of your User Content to Capzo.

However, by using the Services, you grant Capzo a limited, non-exclusive, worldwide license to host, store, reproduce, process, modify, transform, transmit, and otherwise use User Content as reasonably necessary to:

  • Provide the Services;
  • Generate requested outputs;
  • Maintain and secure the Services;
  • Troubleshoot and improve the Services;
  • Develop, train, test, evaluate, maintain, and improve Capzo’s own AI and machine-learning models and systems, where applicable and permitted by law; and
  • Comply with legal obligations.

6. AI and Machine-Learning Processing

Capzo uses artificial intelligence and machine-learning technologies to provide certain features.

Capzo may use both third-party AI/ML models or providers and Capzo’s own AI/ML models and systems.

Depending on the feature you use, your User Content may be processed through third-party AI/ML systems to provide the requested functionality.

Capzo may use User Content, including uploaded videos, audio, transcripts, captions, and related data, to develop, train, test, evaluate, maintain, and improve Capzo's own artificial intelligence and machine-learning models and systems, where permitted by applicable law and our applicable agreements.

7. AI-Generated Outputs

Capzo uses automated technologies and AI systems to generate captions, subtitles, transcripts, translations, and other outputs.

AI-generated outputs may contain errors, omissions, inaccuracies, or inappropriate interpretations.

You are responsible for reviewing AI-generated outputs before publishing, distributing, commercializing, or otherwise relying on them.

Capzo does not guarantee that AI-generated content will always be accurate, complete, error-free, or suitable for a particular purpose.

8. User Responsibility for Published Content

You are solely responsible for reviewing and approving any content generated through Capzo before using or publishing it.

This includes verifying:

  • Captions;
  • Subtitles;
  • Transcripts;
  • Translations;
  • Names;
  • Numbers;
  • Technical terminology;
  • Speaker identification;
  • Timing;
  • Formatting; and
  • Any other generated information.

9. Acceptable Use

You agree not to use Capzo to:

  • Violate applicable laws or regulations;
  • Infringe intellectual property rights;
  • Violate another person's privacy or publicity rights;
  • Upload content you do not have the right to use;
  • Upload malicious code, malware, or harmful files;
  • Attempt to gain unauthorized access to the Services;
  • Circumvent security or access controls;
  • Interfere with the operation of the Services;
  • Abuse APIs, systems, or infrastructure;
  • Conduct fraudulent activities;
  • Reverse engineer or attempt to extract proprietary source code except where permitted by law;
  • Use the Services to create or distribute unlawful content; or
  • Use the Services in a manner that could reasonably damage, disable, overburden, or impair the Services.

Capzo may restrict or terminate access where we reasonably believe these Terms have been violated.

10. Intellectual Property

The Capzo platform, including its software, interface, branding, designs, logos, documentation, technology, features, and underlying systems, is owned by or licensed to Capzo and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

  • Copy;
  • Modify;
  • Distribute;
  • Sell;
  • Lease;
  • License;
  • Reverse engineer;
  • Reproduce; or
  • Create derivative works from Capzo's proprietary technology or materials.

11. Your Feedback

If you provide suggestions, ideas, feature requests, or other feedback regarding Capzo, you grant Capzo the right to use that feedback without restriction or compensation, unless otherwise agreed in writing.

12. Third-Party Services

Capzo may integrate with or rely on third-party services, technologies, APIs, payment processors, hosting providers, analytics providers, AI providers, and other external services.

Third-party services may have their own terms, privacy policies, and limitations.

Capzo is not responsible for the independent operation, availability, security, or policies of third-party services.

13. Payments and Subscriptions

Certain Capzo features may require payment.

Prices, plans, usage limits, billing periods, and available features may be displayed on the Capzo website or within the Services.

Payments may be processed through third-party payment providers such as Razorpay.

By purchasing a paid plan, you authorize the applicable payment provider to process the relevant payment.

14. Subscription Renewal

If you purchase a recurring subscription, it may automatically renew at the end of each billing period unless cancelled before the applicable renewal date.

The renewal price may be the then-current applicable subscription price unless otherwise communicated to you.

You are responsible for cancelling your subscription before renewal if you do not wish to continue.

15. Cancellation

You may cancel your subscription through the available account or subscription-management functionality.

Cancellation generally prevents future renewal but may not automatically provide a refund for the current billing period unless required by applicable law or expressly stated by Capzo.

16. Refunds

Refund eligibility depends on the applicable plan, offer, purchase terms, and applicable law.

Unless otherwise required by law or expressly stated by Capzo, payments may be non-refundable once a subscription period has started or Services have been used.

Any promotional or discounted pricing may be subject to additional conditions.

17. Free Plans, Trials, and Promotions

Capzo may offer free plans, free trials, credits, promotional offers, discounts, or other incentives.

Capzo may:

  • Change or discontinue promotions;
  • Limit eligibility;
  • Impose usage limits;
  • Prevent repeated promotional use;
  • Modify promotional terms; or
  • Cancel promotional benefits where misuse or abuse is suspected.

Unless otherwise stated, promotional benefits do not guarantee continued access after the promotional period ends.

18. Service Availability

We aim to provide reliable and continuous access to Capzo, but we do not guarantee that the Services will always be:

  • Available;
  • Uninterrupted;
  • Error-free;
  • Secure;
  • Free from delays; or
  • Compatible with every device or software environment.

The Services may occasionally be unavailable because of maintenance, upgrades, technical problems, third-party service failures, or circumstances outside our reasonable control.

19. Changes to the Services

Capzo may add, modify, suspend, or discontinue features or parts of the Services at any time.

We may also change pricing, usage limits, supported formats, supported languages, AI models, integrations, or other functionality.

Where required by applicable law, we may provide notice of material changes.

20. Suspension and Termination

Capzo may suspend or terminate your access to the Services if:

  • You violate these Terms;
  • Your use creates a security or legal risk;
  • Your account is involved in fraud or abuse;
  • Payment obligations are not satisfied;
  • We are required to do so by law; or
  • Continued access could reasonably harm Capzo, other users, or the Services.

You may stop using the Services at any time.

21. Effect of Termination

Upon termination:

  • Your right to use the Services will end;
  • Certain account information may be retained where required by law or for legitimate purposes;
  • User Content may be deleted according to our retention practices; and
  • Provisions that by their nature should survive termination will continue to apply.

22. Disclaimer

To the maximum extent permitted by applicable law, Capzo provides the Services on an “as is” and “as available” basis.

Capzo does not guarantee that:

  • AI-generated outputs will be accurate;
  • Captions or transcripts will be error-free;
  • Translations will always be accurate;
  • Speaker detection will always correctly identify speakers;
  • The Services will meet every particular requirement;
  • The Services will be uninterrupted or error-free; or
  • Generated content will be suitable for a particular purpose.

You are responsible for reviewing outputs before using them.

Nothing in these Terms excludes rights or protections that cannot legally be excluded under applicable law.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Capzo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses arising from or relating to your use of the Services.

Where liability cannot be excluded, Capzo's liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

24. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Capzo and its relevant personnel and service providers from claims, liabilities, damages, losses, and expenses arising out of:

  • Your User Content;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement of another person's rights; or
  • Your misuse of the Services.

This obligation applies only to the extent permitted by applicable law.

25. Copyright Complaints

If you believe that content available through Capzo infringes your copyright, you may contact us with relevant information regarding the alleged infringement.

26. Privacy

Your use of Capzo is also governed by our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, disclose, and protect personal information and User Content.

By using Capzo, you agree that we may communicate with you electronically regarding:

  • Your account;
  • Transactions;
  • Subscriptions;
  • Security;
  • Service updates;
  • Support;
  • Legal notices; and
  • Other service-related matters.

Electronic communications may satisfy legal communication requirements where permitted by applicable law.

28. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India, subject to any mandatory legal rights that may apply to you based on your location.

29. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we may update the “Last Updated” date.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

30. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

31. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly applicable to specific Services, constitute the agreement between you and Capzo regarding your use of the Services.
